Suncoast Marine Supply Terms and Conditions

Customer agrees:

Suncoast Marine Supply reserves the right at any time to modify the terms of this Agreement in its sole discretion, without liability to You or End-Users. We reserve the right to accept or reject any order. You agree to be bound by any changes to this Agreement as modified.

Prices and Tax.

Prices do not include freight, handling fees, taxes, and/or duties, and are subject to correction or change without notice.

Applicable Laws.

The Customer shall be solely liable to comply with the appropriate warning requirements under the Proposition 65 law for the sale of products in California. Customer is solely liable and responsible for complying with all applicable laws relating to the sale of products, including but not limited to all applicable Federal laws, State laws, local laws, regulations, codes, labeling laws, or environmental laws like Proposition 65.

Payment and Credit Terms.

Suncoast Marine Supply accepts debit and credit cards from Visa, Mastercard, American Express, Discover, Diner’s Club, Square, PayPal, Venmo, Master Card and as well as AfterPay, ApplePay, Klarna, PayPal and even FBpay. Customers with established Suncoast Marine Supply credit, payment terms are thirty (30) days from the date of shipment of products.

Customer agrees to assume responsibility for, and Customer hereby unconditionally guarantees payment as a primary obligor of, as provided herein, all purchases made by Customer, its subsidiaries, employees and affiliates.

Freight Policy.

Prices stated are F.O.B. origin, freight prepaid to destination specified in the order. Receipts for shipping and handling charges will not be furnished. COD shipments are not permitted. Any charges incurred for Other Freight Services must be paid by customer. Fuel surcharges may be applied. Title and risk of loss pass to customer upon tender of shipment to the carrier. If the product is damaged in transit, customer's only recourse is to file a claim with the carrier. Suncoast Marine Supply charges a shipping and handling fee, (which includes internal handling and related costs), on each order which is applied at time of order and reflected on customer's invoice. Other terms and conditions may apply for other than standard ground delivery ("Other Freight Services"), including without limitation, expedited same day delivery, air freight, freight collect, export orders, hazardous materials, customer's carrier, shipments outside the contiguous U.S. or other special handling by the carrier.

Limited Warranty.

ALL PRODUCTS SOLD THROUGH SUNCOAST MARINE SUPPLY CARRY THE APPLICABLE MANUFACTURER’S WARRANTY AND SUCH WARRANTY SHALL BE CUSTOMER’S SOLE AND EXCLUSIVE REMEDY. For information on a specific manufacturer's warranty, please contact us by emailing our team at Suncoastmarinesupply@gmail.com

Warranty Disclaimer.

EXCEPT AS SET FORTH HEREIN AND WHERE APPLICABLE, NO WARRANTY OR AFFIRMATION OF FACT OR DESCRIPTION, EXPRESS OR IMPLIED, IS MADE OR AUTHORIZED BY SUNCOAST MARINE SUPPLY. SUNCOAST MARINE SUPPLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS. SUNCOAST MARINE SUPPLY ALSO DISCLAIMS ANY LIABILITY FOR CLAIMS ARISING OUT OF PRODUCT MISUSE, IMPROPER PRODUCT SELECTION, IMPROPER INSTALLATION, PRODUCT MODIFICATION, MISREPAIR OR MISAPPLICATION. SUNCOAST MARINE SUPPLY EXPRESSLY DISCLAIMS ANY LIABILITY FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES TO THE EXTENT PERMISSIBLE. SUNCOAST MARINE SUPPLY LIABILITY IN ALL EVENTS IS LIMITED TO THE PURCHASE PRICE PAID FOR THE PRODUCT THAT GIVES RISE TO ANY LIABILITY.

Cancellation.

All product order cancellations, if not prohibited above, must be approved by Suncoast Marine Supply, and may be denied or subject to restocking fees and other charges.

Complete Agreement.

The terms and conditions in: (i) Suncoast Marine Supply’s forms; (ii) acknowledgments; (iii) quotations; (iv) invoices; (v) web sites; (vi) catalogs; and (vii) extension of credit are incorporated herein by reference, and constitute the entire and exclusive agreement between customer and Suncoast Marine Supply. Except as expressly identified in this Agreement, no terms of Customer’s, nor Customer’s Purchase Orders, or any other documentation, nor any browse-wrap, shrink-wrap, click-wrap or other non-negotiated terms and conditions provided by a Customer with an order will constitute a part or amendment of this Agreement. All such other terms and conditions have no force and effect and are deemed rejected by Suncoast Marine Supply even if access to or use of such Service, documentation or other Supplier materials require affirmative acceptance of such terms and conditions.

Order Verification & Fraud Prevention.

We reserve the right to verify certain aspects of any order that appears suspicious or unverified (examples include, but are not limited to: different billing and shipping addresses, high-value orders, unusual ordering patterns, or similarities to past fraudulent activity). If your order is flagged, we will contact you for confirmation.

Suncoast Marine Supply’s goal is to make purchasing product as easy as possible while protecting both our customers and our business from fraudulent activity.

If we do not receive a timely response confirming the legitimacy of the order within 24 hours, we will automatically cancel the order and issue a full refund. Once canceled, you will need to place a new order with verified/corrected information if you still wish to purchase. This policy helps us maintain the lowest prices and fast shipping for all legitimate customers.

Anti-Corruption.

Customer is aware that Suncoast Marine Supply’s business practices prohibit bribery and corrupt behavior in any form. Customer agrees that it is an independent contractor and it is and shall remain in compliance with all applicable laws that relate to money laundering, terrorism, commercial or official bribery or dealing with government officials (including the U.S. Foreign Corrupt Practices Act and the U.K. Bribery Act) and laws implementing the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions. Customer shall not offer or provide anything of value (cash or cash equivalents, gifts, loans, travel, entertainment, or any other similar benefit) either directly or indirectly to any public sector or government official for the purpose of influencing any act or decision in connection with the purchase, transportation, customs clearance and/or resale of the products ordered from Suncoast Marine Supply. Customer shall not pay a gratuity, bribe or inducement to any public sector or government official, even if it appears customary or consistent with prevailing business practices.

Dispute Resolution.

Actions by Suncoast Marine Supply for non-payment by customer of the purchase price of products sold by Suncoast Marine Supply, or for redress of other breaches by customer of these terms and conditions may be brought by Suncoast Marine Supply, at its option, before any U.S. or foreign judicial court of competent jurisdiction. At Suncoast Marine Supply’s option, disputes between customer and Suncoast Marine Supply, including all claims for non-performance by Suncoast Marine Supply, shall be finally settled by arbitration in Santa Clara County, California, U.S., in accordance with the Commercial Arbitration Rules (“Rules”) of the American Arbitration Association, by a single arbitrator appointed in accordance with said Rules, applying these terms and conditions and consistent provisions of the federal and state laws (except conflict of law rules) of the State of California, U.S.
